POSITION OVERVIEW:
Provide legal guidance to business clients and leadership regarding commercial, technology, or real estate transactions. Proactively manage risk and negotiate legal and commercial positions most advantageous to the Company.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES:
1. Provide legal counsel, direction and strategic advice to business clients and management at all levels regarding (a) commercial transactions, including transportation and rail negotiations, (b) technology transactions, or (c) real estate transactions
2. Structure, draft and negotiate commercial agreements to ensure maximum benefit to the company with minimum exposure to risk
3. Provide input to other members of legal department, upon request, with respect to areas of expertise
4. Assist leadership in drafting and reviewing policies and procedures within associated area of expertise
5. Review internal and external communications related to legal practice areas as needed
