**Your Key Responsibilities**

Corporate Governance

+ Responsible for regional oversight of corporate governance function for Americas region and manage activities for US., Canada, Mexico and Brazil.
+ Lead corporate governance for US and Canada including drafting, reviewing, maintain and negotiating various legal documents (intercompany agreements, resolutions, memorandums, minutes, contracts, company statues, powers of attorney, share certificates and registers of legal entity).
+ Provide assistance on KYC/DD and other Corporate legal requests.
+ Manage corporate entity restructuring management.
+ Manage company lifecycle: on a regional basis, lead and implement incorporations, mergers, restructuring, renaming, liquidations.
